    LICENSEE TERM / DURATION

    It is hereby agreed that the license fee and initial period for the license / service shall be as follows: 36 months (words: thirty six months) from the installation date.



    PAYABLE: Monthly instalments commencing from the installation date, by way of debit order, debited on the 1st day of every subsequent month. (See debit order authority and mandate in the next tab.)

    DECLARATION

    I HEREBY DECLARE BY THE AFOREMENTIONED INFORMATION PROVIDED, IN RESPECT OF THE LICENSING TERM / DURATION, IS ACCURATE, TRUE AND THE ASSOCIATED TERMS ARE HEREBY ACCEPTED on behalf of the licensee.





    Under this agreement, the license does not become the property of the licensee / customer and the Licensee / Customer will not be allowed to sell it. Furthermore, upon acceptance, the licensee / customer will also be bound to the licensing terms and conditions of this agreement.

    I/We hereby authorise you to issue and deliver payment instructions to your Banker for collection against my/our above-mentioned account at my/our above-mentioned Bank (or any other bank or branch to which I/we may transfer my/our account) on condition that the sum of such payment instructions will never exceed my/our obligations as agreed to in the Agreement and commencing on the 1st day of every month subsequent to installation date and continuing until this Authority and Mandate is terminated by me/us giving you one calendar’s month notice in writing.

    The individual payment instructions so authorised to be issued must be issued and delivered monthly, on the first day of every month. In the event that the payment day falls on a Sunday, or recognised South African public holiday, the payment day will automatically be the very next ordinary business day.

    I /We understand that the withdrawals hereby authorised will be processed through a computerised system provided by the South African Banks. I also understand that the details of each withdrawal will be printed on my bank statement. Such must contain a number, which must be included in the said payment instruction and if provided to me should enable me to identify the Agreement. The said number will be your PB (Business Partner) number and will be emailed to you. Please use this number as reference for all payment instructions.

    A. MANDATE

    I/We acknowledge that all payment instructions issued by you shall be treated by my/our above-mentioned Bank as if instructions have been issued by me/us personally.

    B. CANCELLATION

    I/We agree that although this Authority and Mandate may be cancelled by me/us, such cancellation will not cancel the Agreement. I/We shall not be entitled to any refund of amounts which you have withdrawn while this Authority was in force if such amounts were legally owing to you.

    C. ASSIGNMENT

    I/We acknowledge that this Authority may be ceded or assigned to a third party if the Agreement is also ceded or assigned to that third party, but in the absence of such assignment of the Agreement, this Authority and Mandate cannot be assigned to any third party.

    DECLARATION

    I HEREBY DECLARE BY THE AFOREMENTIONED INFORMATION PROVIDED, IN RESPECT OF THE MANDATORY AUTHORITY, IS ACCURATE, TRUE AND THE ASSOCIATED TERMS ARE HEREBY ACCEPTED on behalf of the licensee.





    LICENSING TERMS AND CONDITIONS

    This addendum agreement certifies that the parties agree to additions to the End User Product Supply and -License Agreement, dated:

    In addition, and apart from the added products / sites contained in this addendum agreement, this addendum agreement binds the Parties to the terms and conditions of the original End User Product
    Supply and -License Agreement. In the premise and for purposes of clarity, this addendum agreement, along with the original End User Product Supply and -License Agreement, forms the entire agreement between the parties.

    DECLARATION

    YOUR VOLUNTARY PROVISION OF ALL REQUIRED INFORMATION AND ELECTRONIC ACCEPTANCE OF ALL RELEVANT TERMS OF THIS AGREEMENT (INCL. THE END USER PRODUCT SUPPLY AND LICENSE AGREEMENT) ABOVE AND BELOW, CONSTITUES A VALID AND BINDING AGREEMENT RECOGNISED IN TERMS OF THE ELECTRONIC COMMUNICATIONS AND TRANSACTIONS ACT.
